01 Acceptance of Terms & Commercial Authority

By creating an account, accessing, or subscribing to the Vyavastha rental operations platform hosted at app.vyavastha.com (the "Service"), you ("Subscriber", "Customer", or "Tenant") agree to be bound by these Terms and Conditions ("Terms").

If you are registering for the Service on behalf of a company, partnership, LLP, proprietorship, or legal entity, you represent and warrant that you possess the full legal authority under the Indian Contract Act, 1872 to enter into this agreement and bind that entity.

02 Service Description & Software License Scope

Vyavastha grants the Subscriber a non-exclusive, non-transferable, revocable subscription license to access and use its cloud-based software for managing:

• Asset and equipment cataloging, inventory dispatch, and serial number assignment;
• Rental order booking calendars, customer security deposits, and return schedules;
• Field executive coordination, manifest printing, and delivery challans;
• Goods and Services Tax (GST) compliant invoice generation and receivables tracking.

The Service is delivered strictly as a web-accessible cloud application. No underlying source code, database binary, or proprietary firmware is sold or transferred to the Subscriber.

03 Tenant Accounts & Credential Responsibilities

Upon registration, a dedicated tenant environment is provisioned with unique database isolation tokens. The Subscriber agrees to:

• Maintain complete confidentiality over portal login passwords, session tokens, and executive API keys;
• Assign distinct user accounts to field supervisors, dispatchers, and accountants rather than sharing primary administrator credentials;
• Promptly notify Vyavastha support at support@vyavastha.com upon detecting any unauthorized access or breach of credentials.

The Subscriber remains fully responsible for all operational actions, rental status changes, invoice issuances, and records modified under their authenticated tenant accounts.

04 Absolute Customer Data Ownership

Vyavastha claims zero intellectual property or commercial rights in your business data. We process your data exclusively to execute platform features requested by you, maintain automated database backups, and troubleshoot reported technical errors.

05 Subscription Fees, Billing Cycles & GST Invoicing

Subscription plans are calculated based on registered field executive capacity and fleet tier:

• Currency: All subscription quotations, license fees, and invoices are stated and payable in Indian Rupees (INR).
• Goods and Services Tax (GST): Applicable GST (currently 18% under SAC 997331 / Information Technology Software Services) will be added to the base subscription invoice. Registered businesses must provide their valid 15-character GSTIN to claim Input Tax Credit (ITC).
• Billing Frequency: Subscriptions are billed in advance on either a monthly or discounted annual term. Renewal invoices are generated 7 days prior to term expiry.
• Deposit Bookkeeping Disclaimer: Vyavastha provides accounting software tools to record rental security deposits. Vyavastha does not hold, escrow, or transmit deposit funds directly between you and your rental clients.

06 Service Level Commitment (SLA) & Technical Support

We recognize that equipment rental businesses operate under tight dispatch schedules:

07 Acceptable Use & Platform Safeguards

The Subscriber agrees strictly not to engage in any of the following restricted activities:

• Attempting to bypass tenant isolation boundaries or query database records belonging to another tenant;
• Reverse-engineering, decompiling, or attempting to discover the underlying source code or algorithms of the platform;
• Launching distributed denial-of-service (DDoS) attacks, brute-force attacks, or automated web scraping against app.vyavastha.com;
• Using platform communication endpoints (such as WhatsApp or SMS dispatch triggers) to transmit unsolicited bulk marketing (spam) or fraudulent messages in violation of Telecom Regulatory Authority of India (TRAI) regulations.

08 Vyavastha Intellectual Property Rights

Vyavastha Technologies retains all worldwide rights, title, copyright, and interest in:

• The Vyavastha software platform, architecture, database schemas, and algorithms;
• The Vyavastha brand name, lotus insignia, trademarked logos, visual designs, and marketing assets;
• Any enhancements, feature additions, or modifications implemented based on customer suggestions or feedback.

09 Subscription Cancellation & Data Exit Window

Subscriptions may be managed or cancelled at any time by the primary tenant administrator:

• Voluntary Cancellation: You may cancel your subscription at the conclusion of your current billing period with zero cancellation penalties.
• 30-Day Data Export Guarantee: Following cancellation or expiration, your portal access remains open in read-only mode for 30 calendar days to enable exporting your complete database (customer lists, inventory items, booking history, deposit ledgers) into standard CSV or Excel files.
• Termination for Cause: Vyavastha reserves the right to suspend or terminate accounts that engage in fraudulent behavior, non-payment following 14 days notice, or severe violations of the Acceptable Use Policy.

10 Limitation of Liability & Disclaimers

To the maximum extent permitted by applicable Indian law:

• The Service is provided on an "as is" and "as available" basis without warranties of uninterrupted uptime or error-free execution during third-party telecom or internet outages.
• In no event shall Vyavastha be liable for indirect, incidental, special, punitive, or consequential damages, including loss of business profits, lost rental contracts, or damaged field machinery.
• Vyavastha's cumulative aggregate liability arising from or related to this agreement shall be strictly capped at the total subscription fees paid by the Subscriber in the three (3) months preceding the incident giving rise to liability.

11 Governing Law, Jurisdiction & Dispute Resolution

This agreement shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India, without regard to conflict of law principles.
